Tax Credit Finance Associate Attorney (Historic & New Markets Tax Credits)

Job DescriptionDirect Counsel is seeking a Tax Credit Finance Associate with 7–8 years of experience to join a nationally recognized Tax Credit Finance practice. This is an outstanding opportunity for an experienced transactional attorney looking to work on sophisticated historic tax credit and new markets tax credit transactions for a broad range of developers, investors, lenders, and project sponsors.
The ideal candidate will have substantial experience managing complex tax credit transactions from structuring through closing and be comfortable leading deals while coordinating multiple stakeholders.

Responsibilities
- Lead and manage historic tax credit and new markets tax credit transactions
- Structure and negotiate sophisticated tax credit financing arrangements
- Draft, review, and negotiate:
- Tax equity documents
- Loan documents
- Transactional agreements
- Legal opinions
- Review financial projections and transaction models
- Conduct legal and transactional due diligence
- Identify and resolve business and legal issues throughout the transaction lifecycle
- Coordinate transaction teams, clients, lenders, investors, consultants, and opposing counsel
- Manage transactions from initial structuring through closing
Qualifications
- 7–8 years of law firm experience
- Significant experience with:
- Historic Tax Credit (HTC) transactions
- New Markets Tax Credit (NMTC) transactions
- Ability to independently manage complex tax credit financing matters
- Experience drafting and negotiating sophisticated financing and tax equity documentation
- Strong project management and transaction management skills
- Experience reviewing financial projections and transaction structures
- Excellent analytical, drafting, negotiation, and communication abilities
- Strong academic credentials from an accredited law school
Compensation & Benefits
- Expected salary range: $370,000 – $385,000
- Compensation is determined based on experience, qualifications, geographic market, and other relevant factors
