Job DescriptionMid-Level Power & Renewables Transactional Associate Attorney – Houston, Texas

Direct Counsel is seeking a Mid-Level Power & Renewables Transactional Associate Attorney to join a highly respected Am Law firm in its Houston office. Alternative office locations may be considered based on business needs and the candidate's experience.

This opportunity is ideal for an attorney with 4–6 years of experience representing clients in power and renewable energy transactions. The successful candidate will work on sophisticated mergers and acquisitions, joint ventures, and development transactions within the energy sector while collaborating with multidisciplinary teams and advising clients on complex business and transactional matters.

Key Responsibilities:

  • Represent clients in power and renewable energy mergers and acquisitions transactions.

  • Advise on joint venture, development, and other strategic energy transactions.

  • Draft, review, and negotiate purchase and sale agreements, joint venture agreements, development agreements, and related transaction documents.

  • Manage legal due diligence processes and transaction workstreams.

  • Coordinate and support transaction closings.

  • Collaborate with attorneys across multiple practice areas to deliver comprehensive client solutions.

  • Serve as a point of contact for clients, counterparties, and transaction teams.

  • Manage multiple matters simultaneously while maintaining exceptional client service.

Qualifications:

  • J.D. from an ABA-accredited law school.

  • Active membership and good standing with the Texas Bar, or the ability to obtain timely admission as a condition of employment.

  • 4–6 years of experience in power, renewable energy, or related transactional matters.

  • Experience representing clients in M&A transactions, joint ventures, and development projects within the energy sector.

  • Strong drafting and negotiation skills, including experience with principal transaction documents.

  • Excellent organizational, project management, and communication abilities.

  • Ability to manage complex transactions and multiple workstreams effectively.

  • Strong interpersonal skills and the ability to work collaboratively across offices and practice groups.

  • Positive attitude, strong work ethic, and commitment to client service.

  • Outstanding academic credentials.

Compensation: $290,000 – $390,000, commensurate with experience and qualifications.
